Gapwaves Publishes Information Document in Connection with the Company’s Upcoming Rights Issue

The Board of Directors of Gapwaves AB (publ) (“Gapwaves” or the “Company”) publishes an information document (the “Information Document”) in connection with the issue of new B-shares with preferential rights for existing shareholders of approximately SEK 78 million (the “Rights Issue”), which was resolved by the Board on 14 October 2025 and approved by the Extraordinary General Meeting on 31 October 2025. The Information Document is available on the Company's website, www.gapwaves.com. The Information Document will also be made available on Nordic Issuing's website, www.nordic-issuing.se, and Redeye’s website, www.redeye.se.

On 14 October 2025, the Board of Directors of the Company resolved, conditional on the subsequent approval by the general meeting, to carry out an issue of new B-shares up to approximately SEK 78 million with preferential rights for existing shareholders. On 31 October 2025, the Extraordinary General Meeting resolved to approve the Board of Directors’ resolution regarding the Rights Issue. Complete information, terms and instructions regarding the Rights Issue can be found in the Information Document. Summary of the Rights Issue

  • Those who on the record date 5 November 2025 were registered as shareholders in Gapwaves will receive one (1) subscription right for each share held, regardless of share series.
  • Six (6) subscription rights entitle to subscription for one (1) newly issued B-share.
  • The subscription price in the Rights Issue amounts to SEK 15 per new B-share.
  • The subscription period will run from 7 November 2025 to 21 November 2025.
  • The Rights Issue is fully guaranteed through subscription undertakings from certain existing shareholders as well as members of the Board of Directors and management, and through guarantee commitment.

Information Document

The Information Document has been prepared by the Board of Directors in connection with the upcoming Rights Issue in accordance with Article 1.4 db) of the Regulation (EU) 2017/1129 of the European Parliament and of the Council, as amended (the “Prospectus Regulation”). The Information Document contains the information specified in Annex IX of the Prospectus Regulation. The Information Document, containing full terms and conditions and instructions, has today been registered with the Swedish Financial Supervisory Authority (Sw. Finansinspektionen) (the “SFSA"), however, the SFSA has not reviewed or approved the Information Document. Each investor is encouraged to make their own assessment of whether it is appropriate to invest in the Company.
